Terms and Conditions
1. Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Artisan Treads (“we,” “us” or “our”), concerning your access to and use of the website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”) and our manufacturing services. You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms and Conditions.
2. Intellectual Property Rights
Unless otherwise indicated, the Site and our services are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. For our manufacturing clients, the intellectual property of the designs, tech packs, and brand-specific elements you provide remains your property. We commit to strict confidentiality and non-disclosure of your proprietary designs.
3. User Representations
By using the Site, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms and Conditions; (4) you will not access the Site through automated or non-human means, whether through a bot, script or otherwise; (5) you will not use the Site for any illegal or unauthorized purpose.
4. Manufacturing Service Terms
The following terms apply specifically to our manufacturing services:
- Quotations: All quotations are valid for 30 days and are subject to change based on final specifications and material costs.
- Orders: An order is considered confirmed upon receipt of a signed Purchase Order and the agreed-upon advance payment.
- Prototypes & Samples: Prototypes will be developed for approval before bulk production. Costs for sampling will be outlined in the quotation.
- Payment Terms: Our standard payment term is 50% advance payment upon order confirmation and 50% balance payment before shipment. Other terms may be negotiated.
- Lead Times: Production lead times are estimates and begin from the date of prototype approval and receipt of all necessary materials. We are not liable for delays caused by factors beyond our control.
- Quality: We warrant that our products will meet the agreed-upon quality standards and specifications. Any claims for defects must be made in writing within 15 days of receiving the goods.
5. Prohibited Activities
You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. As a user of the Site, you agree not to systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
6. Governing Law
These Terms and Conditions and your use of the Site and our services are governed by and construed in accordance with the laws of the Republic of India, applicable to agreements made and to be entirely performed within the State of Uttar Pradesh, without regard to its conflict of law principles. Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in Agra, Uttar Pradesh.
